T E R M S   &   C O N D I T I O N S

By accessing woolskin.com.au, you hereby acknowledge and accept the terms set out below. 

Woolskin may amend this Agreement at any time by posting the amended terms on our site. Changes can and will be made in the sole discretion of Woolskin (Australia) Pty Ltd. The amended terms shall automatically be effective 24 hours after they are initially posted on our site. This Agreement may not be otherwise amended. 

1. Eligibility - Everybody within the industry is free to access woolskin.com.au

We place two basic restrictions on all access and correspondence in an effort to prevent misuse, abuse and possible vandalism of this site. 

• Registration forms must be completed in full.

• Alias e-mail addresses such as hotmail.com, yahoo.com, mailcity.com etc etc will be treated with some skepticism and we may require you for further identification authentication.

2. Forum - Our site acts as a forum for visitors to conduct business related to the leather industry.  We expect that you will use extreme caution and proper due diligence when conducting business on our site. 

3. Privacy - It is Woolskin's express policy to respect the privacy of its guests.  Woolskin will not monitor, edit, or disclose any personal information about you, your company or any other details, without your prior permission unless Woolskin has a good faith and belief that such action is necessary to:
(1) conform to legal requirements or comply with legal process.
(2) protect and defend the rights or property of Woolskin.

(3) ascertain credit worthiness
(4) enforce any breach of these terms and conditions.
(5) act to protect the interests of its guests or others. 

4. Registrant Information - Registrant Information includes any information you provide to us during the registration. You are solely responsible for Registrant Information, and we act as a passive conduit for your online distribution and publication of Registrant Information. However, we reserve the right to take any action with respect to such information we deem necessary or appropriate in our sole discretion if we believe it may create any discord with other Registrants. Registrant Information and the transactions .: 

• shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; 

• shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); 

• shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; 

• shall not be obscene or contain and shall be distributed only to people legally permitted to receive such content; 

• shall not contain any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines and/or viruses that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and 

• Furthermore, you may not post on our site any item that, by paying to us any fee, could cause us to violate any applicable law, statute, ordinance or regulation. Solely to enable Woolskin to use Registrant Information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, right to exercise the copyright and publicity rights (but no other rights) you have in Registrant Information, in any media now known or not currently known, with respect to Registrant Information. Woolskin will only use Registrant Information in accordance with its Policies. 

5. Buying - If you nominate to purchase goods and your bid is accepted, you are obligated to complete the transaction. Bids are not retractable except in exceptional circumstances such as Woolskin materially changing the description of the goods after your bid or clear certain errors.

If you do not complete a transaction you will be deemed to be in breach of your agreement.

6. Price Manipulation - Visitors may not manipulate prices, either by using a secondary account or third party or by making offers themselves.

7. Contracts Governing Transactions - All sale/purchase arrangements between Woolskin and a buyer will be governed by the full terms and conditions of International Contract No. 6 - Hides and Skins (as drawn up by the International Council of Hides, Skins & Leather Traders Associations and the International Council of Tanners) inclusive of annexure A, B, C or D - whichever is applicable.

The Short Form Contract No.6 will be used to legalize sale/purchase agreements.  Ratification of the contract by means of electronic transmission of the document will be binding upon all parties.

8. Absolute Price Calculations - The following calculations will be applied to all offers to determine the price for each buyer.
(1)  In the case documentary credit terms form part of a buyer's bid price, this component will be calculated and deducted at a rate equal to 0.5% of the total bid price for every 30 days credit requested  to arrive at the absolute bid price.

9. System Integrity -You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the woolskin.com.au site or any sale being conducted on our site. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose. 

10. Breach - We may terminate any of your current sales contracts immediately if you are in breach of any agreement or if we are unable to verify or authenticate any information you provide to us. 

11. Warranty - Woolskin makes no representations about the content and suitability of this information for any purpose.  It is provided "as is" without express or implied warranty.

Woolskin disclaims all warranties with regard to this information, including all implied warranties or merchantability and fitness.

12. Limit of Liability -  In no event shall Woolskin be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract, negligence or other tortuous action, rising out of or in connection with the use or performance of this information. 

13. General Compliance with Laws - You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your Offering on, listing, purchase and sale of items. 

14. No Agency - You and Woolskin. are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

15. Notices - Except as explicitly stated otherwise, any notices shall be given by email to info@woolskin.com.au or such other address as the party shall specify.  Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to Woolskin. during the registration process. In such case, notice shall be deemed given 7 days after the date of mailing. 

16. Jurisdiction- This Agreement shall be governed in all respects by the laws of Australia.  Both parties submit to jurisdiction in Australia and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in Australia. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
